SEP 2011–PSI Midstream Partners, L.P. has engaged Raymond James & Associates, Inc. as its exclusive financial advisor to evaluate potential strategic alternatives.  PSI Midstream is a Houston-based midstream partnership with gathering, conditioning, and processing assets located onshore and offshore Louisiana.  The company acquires, constructs, and operates gathering and processing assets to support oil and gas production activities in Texas, Louisiana, and the Gulf of Mexico.

The company provides midstream services to approximately 50 different producers operating both onshore and offshore wells in Louisiana and Texas. Currently, PSI’s contracts on a volume basis consist of 80% fee-based contracts at its Kaplan Plant and 30% fee-based contracts at its Cameron Meadows Plant, and the remaining contracts are percentage-of-liquids with a minimum processing fee as a floor.  For the twelve months ending June 30, 2011, PSI’s assets generated approximately $17 million of EBITDA.

“We are pleased to team with Raymond James in our desire to explore opportunities for growth via a merger or combination.  PSI is steadfast in its goal to continue providing midstream services to producers and is uniquely positioned to significantly grow our business given our proximity to the deep and ultra-deep gas plays surrounding our two processing plants and pipeline assets,” said Eric R. Pitcher, Co-founder and Managing Partner of PSI Midstream.

NOV 2009–PSI Midstream Partners, L.P. and a unit of Williams have consummated the acquisition of the Williams-owned Cameron Meadows Gas Plant by PSI. The 500-MMcfd gas processing plant is located near Johnson Bayou in Cameron Parish, LA.

The plant design consists of two process trains: the Cameron Train capable of 300 MMcfd and the JB Train capable of 200 MMcfd. It serves as a straddle plant for the North High Island and West Cameron offshore pipeline systems, which are part of the Williams-owned Transco natural gas pipeline system. The North High Island System extends west from Johnson Bayou to offshore Gulf of Mexico production areas south of Galveston, Texas. The West Cameron System extends east from Johnson Bayou to offshore Gulf of Mexico production areas south of Cameron, La.

The current plant throughput volume is averaging approximately 250 MMcfd. In addition to its connections to the Transco-operated pipeline systems, Cameron Meadows has a connection with the Enbridge-operated UTOS system.

PSI is a private midstream company formed in December 2005 to pursue Gulf Coast and offshore Gulf of Mexico midstream asset opportunities with equity backing from management and Natural Gas Partners. PSI’s other operated assets include several offshore pipeline systems and the newly constructed 125 MMcfd design Kaplan Gas Plant in Vermilion Parish, La. PSI is currently gathering, processing, and conditioning more than 375 MMcfd through its 100% owned and operated assets.
